Public Offer Agreement

This Public Offer Agreement is an official offer ("Offer") by the operator of the Replydesk service (the "Operator") to enter into a paid services agreement on the terms below. Acceptance of the Offer is performed by paying for any tariff plan or workflow credit pack on https://replydesk.xyz.
1. Subject of the Agreement
The Operator provides the User with paid access to the Replydesk software service: AI-assisted drafting of customer support replies, conversation summaries, internal handoff notes, FAQ drafts, and an HTTP API for the same workflows.
The Service is provided online, without physical delivery. Access is granted by enabling the corresponding plan or crediting workflow credits to the User's account upon successful payment.
2. Acceptance and Conclusion
Acceptance of this Offer is performed by paying for a subscription or credit pack. Such payment constitutes the User's full and unconditional acceptance of the Offer.
The Agreement is concluded the moment the Operator receives confirmation of payment from the payment provider.
3. Tariffs and Service Description
Up-to-date list of plans, prices, included limits and features is available at /pricing. Prices are stated inclusive of all applicable taxes.
4. Payment Procedure
Payments are processed by an independent payment provider. The Operator does not store full card data. Payment is debited at the moment the User confirms the order on the payment page.
5. Service Provision Terms
Subscription is activated immediately upon successful payment and is valid for the period specified in the chosen plan. Subscription is renewed automatically until canceled by the User.
Workflow credit packs are credited to the account immediately upon payment and have no expiration date.
6. Refunds
Refund procedure is defined in the Refund Policy.
7. Rights and Obligations
The Operator undertakes to maintain access to the Service in accordance with the chosen plan and to safeguard the User's data in accordance with the Privacy Policy.
The User undertakes to pay for the Service in accordance with the chosen plan and to comply with the Terms of Service.
8. Liability
The Service is provided "as is". The Operator is not liable for indirect or consequential damages resulting from the use of the Service. Liability is limited to the amount actually paid by the User for the period in which the breach occurred.
9. Term and Termination
The Agreement is concluded for the term of the active subscription or until all credits in the pack are used. Either party may terminate the Agreement subject to the procedure described in the Terms of Service and the Refund Policy.
10. Final Provisions
Disputes are resolved in accordance with applicable law. Operator's contact details are listed on the Contacts page.
